Terms of Service

1. Agreement

These Terms of Service (“Terms”) are a legal agreement between you and Build Suite Solutions LLC (“Build Suite,” “we,” “our,” or “us”), a Missouri limited liability company. By creating an account or using any of our products — including BuildSuiteCrew, BuildSuiteScan, and related services (the “Services”) — you agree to these Terms. If you do not agree, do not use the Services.

2. Eligibility

You must be at least 18 years old and legally authorized to enter into contracts to use the Services. By using the Services, you represent that you meet these requirements and that all information you provide is accurate.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at admin@buildsuitesolutions.com if you suspect unauthorized access.

You may invite team members to your business account. You are responsible for your team members’ use of the Services and their compliance with these Terms.

4. Subscriptions and Billing

  • Subscription fees are billed monthly in advance through Stripe.
  • All fees are non-refundable except as required by law or as expressly stated in these Terms.
  • We may change pricing with 30 days’ written notice. Continued use after the notice period constitutes acceptance of the new pricing.
  • If payment fails, your access to paid features may be suspended until payment is resolved.
  • You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.

5. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable regulations.
  • Upload false, fraudulent, or misleading documents or information.
  • Attempt to gain unauthorized access to the Services or other users’ accounts.
  • Reverse engineer, decompile, or otherwise attempt to derive the source code of the Services.
  • Resell or sublicense access to the Services without our written permission.
  • Use the Services to transmit spam, malware, or harmful content.

6. Your Content

You retain ownership of all documents, data, and content you upload to the Services (“Your Content”). By uploading Your Content, you grant us a limited, non-exclusive license to store, process, and display it solely to provide the Services to you. We do not claim ownership of Your Content and will not use it for any purpose other than operating and improving the Services.

You are solely responsible for the accuracy, legality, and appropriateness of Your Content. We are not responsible for any errors or omissions in documents you upload.

7. Intellectual Property

The Services, including all software, design, text, and trademarks, are owned by Build Suite Solutions LLC and protected by applicable intellectual property laws. These Terms do not grant you any rights to our intellectual property beyond the limited license to use the Services as described herein.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUILD SUITE SOLUTIONS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Build Suite Solutions LLC and its officers, members, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorney’s fees) arising out of your use of the Services, Your Content, or your violation of these Terms.

11. Termination

We may suspend or terminate your account at any time if you violate these Terms or if we reasonably believe your use poses a risk to the Services or other users. You may close your account at any time by contacting us. Upon termination, your right to use the Services ends immediately.

12. Governing Law

These Terms are governed by the laws of the State of Missouri, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Jackson County, Missouri, and you consent to personal jurisdiction in those courts.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. Continued use of the Services after changes constitutes acceptance of the updated Terms.
